Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the OnRamp website and application (the “Software”) operated by Sam White Ltd. (“we”, “us”). By creating an account or using the Software you agree to these Terms.

Please read section 2 carefully. It explains that we only provide software and that every financial transaction is carried out by licensed third parties with whom you contract directly.

1. The Software

The Software lets you prepare, submit and track requests to exchange fiat currency into digital assets or digital assets into fiat currency, manage the bank accounts and wallets you want to use for that, receive status notifications and contact support.

The Software is a technical tool. It does not itself execute, settle or guarantee any transaction.

2. Our role: software provider only

Sam White Ltd. is solely the provider of the OnRamp software. It is not a bank, exchange, payment institution, broker, custodian or virtual-asset service provider. Every exchange, payment, custody and identity-verification step is carried out exclusively by independent, licensed third-party companies that you contract with directly. Sam White Ltd. is not a party to those transactions, never holds your funds and accepts no responsibility or liability for them.

All exchange, payment, custody and payout services, as well as all identity-verification and compliance checks, are performed by independent, licensed third-party companies (the “Service Partners”). By submitting a request you instruct the Software to hand your request to the responsible Service Partner and you enter into a direct contractual relationship with that Service Partner, subject to its own terms and policies.

Sam White Ltd. is not your counterparty, agent, broker, trustee or fiduciary. It does not receive, hold or forward your funds or digital assets at any time. Any payment you make is made to an account or wallet operated by a Service Partner, and any payout you receive comes from a Service Partner.

Where the Software displays bank details, wallet addresses, rates, fees or timelines, it displays information provided by Service Partners or public market-data sources. We do not set, control or guarantee that information.

3. Eligibility and account

  • You must be at least 18 years old and legally able to enter into binding contracts.
  • You must use your own, real name, e-mail address and contact details. Alias or disposable addresses are not permitted and may be rejected automatically.
  • You may hold only one account. Bank accounts and wallets you add must be held in your own name (or in the name of a company you are authorised to represent).
  • You are responsible for keeping your password confidential and for all activity under your account. Tell us immediately via support if you suspect misuse.
  • You must confirm your e-mail address before you can use the Software.

We may refuse, suspend or close an account at any time, in particular where we suspect fraud, misuse, breach of these Terms, or where a Service Partner declines or terminates the relationship with you.

4. Identity verification by third parties (KYC)

Service Partners are legally obliged to identify and verify their customers and to monitor transactions (know-your-customer, anti-money-laundering and sanctions rules). The Software does not perform these checks. Where a Service Partner requires verification, you will be asked to complete it directly with that partner or its specialised verification provider – for example by providing identity documents, a selfie, proof of address or information about the source of funds.

  • The verification is a process between you and the Service Partner. Its requirements, duration and outcome are decided solely by the Service Partner.
  • Sam White Ltd. does not see or store your identity documents and has no influence on whether a verification is approved, delayed or rejected.
  • A Service Partner may request additional information, pause or reject a request, or refuse to serve you at any time in order to comply with its legal obligations. Such decisions are not attributable to us.
  • The Software may display the status of a verification as reported to it by the Service Partner, for your convenience only.

5. Requests, rates and fees

When you submit a request, the Software shows you the indicative rate, the applicable fee and the resulting amounts as reported at that moment. The request is binding on you once submitted; whether and on what terms it is executed is determined by the Service Partner.

  • Rates are locked at the time of the request for the purpose of the request only; the Service Partner may reject a request if market conditions, limits or compliance requirements no longer allow its execution.
  • Fees shown in the Software are the fees charged for the transaction by the Service Partner and/or the Software. Your bank or wallet provider may charge additional fees we have no control over.
  • Minimum and maximum amounts and daily limits apply and may change without notice.
  • You must transfer exactly the stated amount with the personal reference shown. Transfers without the correct reference, from third-party accounts or in a different amount may be delayed, returned or rejected by the Service Partner, possibly at your cost.
  • You can cancel a request only while it is still awaiting your payment. Once you have confirmed a transfer, cancellation is subject to the processes of the Service Partner.

6. Digital assets – your responsibility

  • Transactions on public blockchains are irreversible. Assets sent to a wrong, mistyped or unsupported address or network cannot be recovered by anyone.
  • You are solely responsible for the correctness of every wallet address and network you enter and for confirming that the wallet is yours.
  • Digital assets are volatile and may lose value, including to zero. Nothing in the Software is a recommendation to buy, sell or hold any asset.
  • You are responsible for your own tax reporting and obligations in your country of residence.

7. Prohibited use

You may not use the Software: for money laundering, terrorist financing, fraud or any illegal purpose; on behalf of undisclosed third parties; from a jurisdiction where such use is prohibited; to circumvent limits by opening multiple accounts; to attack, scrape, reverse-engineer or overload the Software; or to submit false, misleading or stolen information.

8. Availability and changes

We aim to keep the Software available but do not guarantee uninterrupted or error-free operation. We may change, suspend or discontinue features, currencies, networks, limits or Service Partners at any time. Currencies and networks are only offered while a Service Partner provides a live account for them.

9. Liability

Sam White Ltd. has nothing to do with the execution of transactions and is not liable for them – see section 2 and the Legal Notice. In relation to the Software itself, Sam White Ltd. is liable only for damage caused by its wilful misconduct or gross negligence, and for damage that cannot be excluded under mandatory law. Any further liability – in particular for indirect or consequential loss, loss of profit, loss of data, or losses arising from acts or omissions of Service Partners, banks, blockchain networks or your own inputs – is excluded to the fullest extent permitted by law.

10. Communication

We communicate with you by e-mail (transactional messages about your account and requests) and through the support ticket system in the application. You can opt out of marketing e-mails at any time via the link in each e-mail or in your account settings; transactional messages cannot be switched off while your account exists.

11. Final provisions

These Terms are governed by the laws of Malta, without prejudice to mandatory consumer-protection rules of your country of residence. The courts of Malta have jurisdiction unless mandatory law provides otherwise.

We may update these Terms. The current version is always published here with its date; material changes will be announced in the application. If any provision is invalid, the remainder stays in force.
